1. Acceptance of Terms

By accessing or using Notewell (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Notewell is a spaced-repetition learning platform that allows users to import notes, generate AI-powered flashcards, and receive study prompts via email, SMS, Telegram, or the web. The Service is intended for personal educational use.

3. Eligibility

You must be at least 13 years of age to use the Service. By using Notewell you represent and warrant that you meet this age requirement and that all information you provide is accurate and complete.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@notewell.io of any unauthorized use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with this obligation.

5. User Content

You retain full ownership of any notes, documents, or other content (“User Content”) you upload or import into the Service. By uploading User Content you grant Notewell a limited, non-exclusive, royalty-free license to store, process, and display that content solely for the purpose of providing the Service to you.

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that your User Content does not violate any third-party intellectual property, privacy, or other rights.

6. Acceptable Use

You agree not to use the Service to:

  • Upload content that is illegal, harmful, or violates third-party rights.
  • Attempt to gain unauthorized access to any part of the Service.
  • Transmit spam, malware, or other disruptive code.
  • Reverse-engineer, decompile, or otherwise attempt to extract source code.
  • Resell or sublicense access to the Service without written permission.

7. AI-Generated Content

Notewell uses artificial intelligence to generate flashcard questions and evaluate answers. AI-generated content may occasionally be inaccurate or incomplete. You are solely responsible for verifying the accuracy of any AI-generated material and for how you use it. We make no representations about the suitability of AI-generated content for any particular purpose.

8. Third-Party Integrations

The Service may connect to third-party services such as Notion, Google Drive, Microsoft OneNote, or Evernote. Your use of those integrations is subject to the respective third-party terms of service. Notewell is not responsible for the availability, accuracy, or security of any third-party service.

9. Subscription and Billing

Certain features of the Service are available only on a paid subscription basis. Subscriptions are billed in advance on a monthly basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except as required by applicable law.

10. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, including for violation of these Terms. You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will immediately cease.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTEWELL AND ITS OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide reasonable notice of material changes via email or a prominent notice within the Service. Your continued use of the Service after such notice constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
